Welcome to Cytio. These Terms of Service (“Terms”) govern your use of our website, products, mobile application, subscriptions, test kits, reports, and related services (collectively, the “Services”). By accessing our website or purchasing from us, you agree to these Terms.

If you do not agree, please do not use the Services.

About Cytio

For purposes of these Terms, “Cytio,” “we,” “us,” and “our” refer to the Cytio business entity operating this website and selling Cytio products.

Eligibility

The Services are intended for use only by adults. You must be at least the age of majority in your jurisdiction to use our Services, purchase products, create an account, register a kit, submit a sample, or access results.

By using the Services, you represent that:

• You are legally able to enter into a binding agreement.
• Any information you provide is accurate and up to date.
• You will use the Services only for lawful purposes.
• Any sample you provide to Cytio is your own.
• You will not submit a sample on behalf of another person, including a minor, unless Cytio expressly permits this in writing.

Health and Product Disclaimer

Our products and website content are provided for general informational and consumer purposes only.

• Cytio products and services are intended solely for wellness, educational, and informational purposes and are not intended for use in the diagnosis, treatment, cure, mitigation, or prevention of any disease.
• Information provided by Cytio, including reports, insights, recommendations, website content, and other materials, is not medical advice and should not be used to diagnose, treat, or make medical decisions. Always consult a qualified healthcare professional regarding medical concerns or treatment decisions.
• Cytio does not endorse, encourage, warrant, or guarantee the safety, suitability, or effectiveness of any substance, supplement, stimulant, routine, behavior, or lifestyle change.

Biological Samples

By submitting a biological sample to Cytio, you authorize Cytio and its laboratory partners to process the sample for the purpose of providing the requested Services.

You represent that any sample submitted to Cytio is your own, unless Cytio has expressly permitted otherwise in writing, and that the sample was collected in accordance with Cytio instructions.

You acknowledge that some samples may be insufficient, contaminated, degraded, delayed, improperly collected, or otherwise unable to be processed, and that Cytio may request a replacement sample or provide another remedy in accordance with these Terms and our applicable policies.

Samples may be consumed, depleted, destroyed, de-identified, or discarded during processing and generally cannot be returned after submission.

Cytio may engage third-party laboratories, contractors, and service providers to perform testing, analysis, processing, fulfillment, or other services necessary to provide the Services.

Results and Interpretations

Cytio provides estimates, analyses, interpretations, and educational insights based on information available at the time of testing. Biological processes are inherently variable, and individual responses may differ from reported results or recommendations.

Cytio does not guarantee any particular outcome, performance improvement, health benefit, sleep benefit, or behavioral result from following any recommendation or insight provided through the Services.

Results and recommendations may be affected by sample quality, user-provided information, testing limitations, scientific uncertainty, and changes in available research.

Privacy

Our collection, use, storage, and disclosure of personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you acknowledge that you have reviewed our Privacy Policy.

Please review our Privacy Policy for additional information regarding our privacy practices and your rights.

Orders and Acceptance

When you place an order, you are making an offer to purchase. We may accept or reject orders at our discretion, including in cases of:

• Suspected fraud or unauthorized transactions
• Product unavailability
• Pricing or typographical errors
• Shipping limitations

Order confirmation emails do not guarantee acceptance. A contract is formed only when your order has been processed and shipped (or otherwise fulfilled).

Pricing, Payment, and Taxes

• Prices are shown in the currency displayed at checkout unless otherwise stated.
• We may change prices at any time before order acceptance.
• You agree to pay all charges, including applicable taxes, duties, and shipping fees shown at checkout.
• You authorize us and our payment processors to charge your selected payment method.

If a payment cannot be completed, we may cancel or hold your order.

Shipping and Delivery

Delivery times are estimates and are not guaranteed. We are not responsible for delays caused by carriers, customs processing, weather, or events beyond our control.

Risk of loss and title for physical products pass to you upon delivery, except as otherwise required by applicable law or addressed under our replacement, return, or refund policies.

You are responsible for providing accurate shipping information. Additional fees may apply for reshipment due to address errors.

Returns, Refunds, and Cancellations

Orders may be canceled before shipment for a full refund.

Unused, unopened kits are eligible for return and refund within 30 days of delivery if returned in accordance with Cytio’s return instructions and received in resalable condition. Shipping charges are non-refundable unless otherwise required by law or caused by an error on Cytio’s part.

Because Cytio products include biological sample collection and laboratory services, opened kits, used kits, submitted samples, and completed testing services are generally not eligible for return, refund, or exchange due to safety, quality-control, and regulatory requirements.

If a kit, sample, or shipment is lost, damaged, or rendered unusable due to circumstances reasonably determined by Cytio to be outside of the customer’s control, Cytio may, at its discretion, provide a replacement kit, account credit, refund, or other appropriate remedy.

We reserve the right to deny refund requests where services have already been performed, results have been delivered, or where misuse, improper collection, failure to follow instructions, or other customer-caused issues have affected the sample or testing process.

Nothing in this section limits any rights that cannot be waived under applicable law.

App Access, Subscriptions, and Free Trials

Cytio may offer free and paid features through its website, mobile application, or other digital services.

Certain basic features, including access to eligible Cytio test results, may be available without a paid subscription. Other features, including additional insights, personalized guidance, caffeine timing tools, recommendations, or premium content, may require a paid subscription.

Users who do not have Cytio test results may still be able to access general information, educational content, or population-based insights. However, certain personalized features may be unavailable or limited without test results or other required user information.

If you enroll in a paid subscription, you authorize Cytio and its payment processors to charge your selected payment method on a recurring basis at the price and billing frequency disclosed at sign-up. Subscriptions automatically renew until canceled.

Before you are charged for a subscription, we will disclose the subscription price, billing frequency, renewal terms, cancellation method, and any applicable trial or promotional terms.

Subscription plans, billing periods, prices, discounts, included features, and promotional offers may change from time to time. Any material changes will be disclosed as required by applicable law.

If you receive a free trial, promotional subscription period, or bundled app access with the purchase of a Cytio kit, the offer is subject to the terms disclosed at the time of purchase or redemption. Unless otherwise stated, promotional access may be unavailable, revoked, or canceled if the related order is canceled, returned, refunded, disputed, or not completed.

You may cancel your subscription according to the cancellation instructions provided in your account, in the app, at checkout, or by contacting support. Cancellation will stop future recurring charges but will not necessarily result in a refund for the current billing period unless required by law or expressly stated in the applicable offer terms.

No partial-period refunds are provided unless required by applicable law or expressly stated in the applicable offer terms.

Advertising and Promotional Content

Cytio may display Cytio product information, promotional content, offers, or recommendations within the Services, including in free versions of the app.

Advertising and promotional content may be personalized or non-personalized as described in our Privacy Policy and as permitted by applicable law.

In the future, Cytio may display third-party advertisements or sponsored content. Any third-party advertisements, offers, links, or promotions are provided by their respective advertisers, and Cytio is not responsible for third-party products, services, claims, websites, or privacy practices.

Your use of third-party services or interactions with third-party advertisers may be subject to separate terms and privacy policies.

Promotions and Discount Codes

Promotions are subject to their own eligibility rules and may be changed or withdrawn at any time.

Unless expressly stated:

• Promotions cannot be combined.
• Promotions have no cash value.
• We may void promotions where misuse, abuse, or fraud is suspected.

Acceptable Use

You agree not to:

• Use the Services in violation of any law or regulation
• Interfere with or disrupt website security or operation
• Attempt unauthorized access to systems or accounts
• Use bots, scraping tools, or automated means in ways that harm our Services
• Infringe intellectual property or other rights
• Submit a sample that is not your own unless Cytio expressly permits this in writing
• Tamper with, falsify, mislabel, or misuse any sample, kit, registration information, or results

Accounts

You may need to create an account to purchase a kit, register a sample, access results, use the app, manage subscriptions, or use certain Services.

You agree to provide accurate, current, and complete account information and to keep that information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You may not share, transfer, sell, or assign your account to another person without our permission. You agree to notify Cytio promptly if you believe your account has been accessed without authorization or your login credentials have been compromised.

Cytio may suspend, restrict, or terminate access to your account or the Services if we reasonably believe that you have violated these Terms, provided false information, misused the Services, compromised account security, violated applicable law, or engaged in fraudulent, abusive, or harmful activity.

You may request account deletion or closure by following the instructions provided in your account settings or by contacting us. Account deletion or closure may not immediately delete all information associated with your account. Certain information may be retained as described in our Privacy Policy or as necessary for legal, regulatory, security, fraud-prevention, dispute-resolution, payment, laboratory, or business-record purposes.

If your account is closed or deleted, you may lose access to app features, subscriptions, stored preferences, and digital access to results, except where continued access is required by applicable law or otherwise provided by Cytio.

Electronic Communications

By using the Services, creating an account, placing an order, or providing contact information, you consent to receive electronic communications from Cytio related to your account, orders, samples, results, subscriptions, security, support, and the Services. These communications may be provided by email, in-app messages, account notices, or other electronic means.

You may opt out of promotional communications where required by law, but we may still send transactional, administrative, security, or service-related communications.

Mobile Application

If you access the Services through a mobile application, your use of the app may also be subject to the rules, terms, and policies of the applicable app store or platform provider.

You are responsible for maintaining a compatible device, internet access, and any carrier or data charges required to use the app. Cytio does not guarantee that the app will be compatible with all devices, operating systems, or versions.

We may update, modify, suspend, or discontinue app features from time to time, including to improve performance, maintain security, comply with law, or update the Services.

Intellectual Property

All content on the Services, including text, graphics, branding, logos, images, videos, product descriptions, and software, is owned by Cytio or its licensors and is protected by intellectual property laws.

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial use.

You may not copy, modify, distribute, republish, sell, or create derivative works from our content without prior written permission.

User Submissions and Feedback

If you submit a review, testimonial, comment, suggestion, or other content, you authorize Cytio to use that content in connection with operating, improving, promoting, and marketing the Services, subject to applicable law.

You represent that your submissions are lawful and do not violate third-party rights.

We may remove or decline to publish user submissions at our discretion.

Third-Party Services and Links

Our Services may include links to third-party websites, tools, or platforms. We do not control and are not responsible for third-party content, terms, or privacy practices. Your use of third-party services is at your own risk and subject to their terms.

Disclaimer of Warranties

To the fullest extent permitted by law, the Services and products are provided on an “as is” and “as available” basis without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

We do not warrant that the Services, results, estimates, recommendations, app features, or content will be uninterrupted, secure, error-free, accurate, complete, current, or suitable for your particular goals or circumstances.

Limitation of Liability

To the fullest extent permitted by law, Cytio and its officers, directors, employees, affiliates, and partners will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of the Services or products.

To the fullest extent permitted by law, our total liability for any claim arising out of or related to the Services or products will not exceed the amount you paid to us for the specific product or service giving rise to the claim in the 12 months before the event.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless Cytio and its affiliates, officers, directors, employees, and agents from and against claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your breach of these Terms
• Your misuse of the Services
• Your violation of any law or third-party rights

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

You agree to attempt to resolve disputes informally by contacting us first. If a dispute cannot be resolved informally, then, subject to any rights you may have under mandatory consumer protection laws, disputes will be handled in the state or federal courts located in California.

International Use

You are responsible for compliance with local laws if you access the Services from outside the country where Cytio operates. We make no representation that the Services are appropriate or available in all locations.

Force Majeure

Cytio shall not be liable for delays or failures caused by events beyond our reasonable control, including natural disasters, labor disputes, carrier disruptions, governmental actions, public health emergencies, utility outages, internet disruptions, or other force majeure events.

Changes to These Terms

We may update these Terms from time to time. Changes become effective when posted on this page unless otherwise stated.

Your continued use of the Services after updated Terms are posted constitutes acceptance of the changes.

Severability and Waiver

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.

Our failure to enforce any provision is not a waiver of our right to do so later.
